1. Acceptance of Terms

By accessing or using the QR Funnel platform, website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and QR Funnel. By creating an account, accessing the Service, or using any features of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 18 years of age or the age of majority in your jurisdiction to use this Service. By using QR Funnel, you represent and warrant that you meet this age requirement.

2. Description of Service

QR Funnel is a software-as-a-service (SaaS) platform designed to help small businesses and marketers track the performance of offline marketing campaigns using QR codes. The Service provides the following core capabilities:

• Create and manage marketing campaigns with unique, trackable QR codes
• Track QR code scans in real time, including timestamps, device information, and approximate location data
• Capture leads through QR code landing pages with customizable forms
• View campaign analytics, funnel conversion metrics, and return-on-investment (ROI) reports
• Export campaign data and lead information (available on select subscription plans)

QR Funnel reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the platform.

3. Account Registration and Security

To access most features of QR Funnel, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify QR Funnel immediately of any unauthorized use of your account or any other security breach

QR Funnel reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, false, outdated, or incomplete. You are solely responsible for safeguarding your password and for any actions taken under your account.

4. Subscription Plans and Billing

QR Funnel offers tiered subscription plans to meet different business needs:

• Free Plan: Includes up to 2 campaigns and 25 leads. Ideal for individuals testing the platform or running small-scale offline marketing efforts. No credit card required.
• Starter Plan ($9/month): Includes up to 5 campaigns, 100 leads, and CSV data export. Designed for small businesses actively running multiple offline marketing campaigns.
• Pro Plan ($19/month): Includes unlimited campaigns, unlimited leads, full analytics, CSV export, custom branded QR codes, and priority support. Built for growing businesses and marketing professionals.

Payment Processor: All payment processing for QR Funnel is handled by Stripe, Inc. ("Stripe"), a PCI DSS Level 1 certified payment processor. By providing your payment information, you agree to Stripe's Terms of Service and Privacy Policy. Your payment card details are transmitted directly to Stripe and are never stored on QR Funnel's servers. QR Funnel is not responsible for any errors, outages, or security incidents on Stripe's platform.

Billing and Payment: All paid subscriptions are billed on a recurring monthly basis. By subscribing to a paid plan, you authorize QR Funnel (via Stripe) to charge your designated payment method on a recurring basis. You are responsible for keeping your payment method current and valid. All charges are in US Dollars (USD) unless otherwise stated.

Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each new billing period. By subscribing, you acknowledge and agree to this automatic renewal and recurring charge.

Failed Payments: If a scheduled payment fails (e.g., due to an expired card, insufficient funds, or bank decline), we may retry the charge as permitted by Stripe. If payment cannot be collected after reasonable attempts, your subscription may be suspended or downgraded to the Free plan. You remain responsible for any unpaid amounts.

Cancellation: You may cancel your subscription at any time through your account settings or via the Stripe customer portal. When you cancel, your account remains fully active with all paid features until the end of your current billing period — you will not lose access early. Once your billing period ends, your account will automatically revert to the Free plan. We recommend canceling before your next renewal date to avoid being charged for another billing cycle.

No Refunds: All subscription payments are final and non-refundable. We do not issue refunds for any reason, including partial months of service, plan downgrades, or unused features. Because your account stays active with full access through the end of your paid billing period after cancellation, you will always receive the full value of what you have paid for. To avoid future charges, simply cancel your subscription before the next renewal date.

Plan Changes: You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle. Downgrades take effect at the beginning of your next billing period.

Price Changes: QR Funnel reserves the right to modify subscription pricing. We will provide at least 30 days' notice before any price changes take effect via email to your registered account. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

Disputes and Chargebacks: If you believe a charge is incorrect, please contact us at 207courier@gmail.com before filing a dispute with your bank or credit card company. Chargebacks filed without prior contact may result in account suspension pending investigation.

5. Acceptable Use Policy

You agree to use QR Funnel only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Generate or distribute spam, phishing content, or misleading marketing materials through QR codes created on the platform
• Upload, transmit, or distribute any content that is harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to QR Funnel
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Use automated scripts, bots, or other tools to access the Service in a manner that exceeds normal usage patterns or places an unreasonable load on our systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service
• Resell, sublicense, or redistribute the Service without prior written consent from QR Funnel
• Collect or harvest personal information of other users without their explicit consent

QR Funnel reserves the right to investigate and take appropriate action against any violations of this policy, including suspending or terminating your account and reporting illegal activities to law enforcement authorities.

6. Intellectual Property

The QR Funnel platform, including its design, source code, algorithms, graphics, logos, trademarks, documentation, and all related intellectual property, is owned by QR Funnel and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not grant you any right to:

• Copy, modify, or create derivative works based on the Service or any part thereof
• Use QR Funnel's name, logo, or trademarks without prior written permission
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Service

All rights not expressly granted in these Terms are reserved by QR Funnel.

7. User Content and Data

You retain ownership of all content, data, and materials that you submit, upload, or create through the Service ("User Content"), including campaign details, lead information, and QR code configurations.

By using the Service, you grant QR Funnel a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing and improving the Service. We will not sell, share, or use your User Content for purposes unrelated to the operation of the platform.

You are solely responsible for the legality, accuracy, and appropriateness of your User Content. You represent and warrant that you have all necessary rights and permissions to use and share any content you upload to the platform, and that your User Content does not infringe upon the intellectual property rights of any third party.

QR Funnel may access your User Content as reasonably necessary to provide the Service, respond to support requests, ensure compliance with these Terms, or comply with legal obligations. For more details on how we handle your data, please see our Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by applicable law, QR Funnel and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute goods or services
• Business interruption or loss of goodwill
• Any damages arising from your use of or inability to use the Service
• Any unauthorized access to or alteration of your data or transmissions

In no event shall QR Funnel's total aggregate liability for any and all claims arising out of or related to these Terms or the Service exceed the total amount you have paid to QR Funnel in the twelve (12) months immediately preceding the event giving rise to the claim.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. QR Funnel does not warrant that the Service will be uninterrupted, error-free, or completely secure.

9. Termination

QR Funnel reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to the following circumstances:

• Violation of these Terms or any applicable laws or regulations
• Engagement in fraudulent, abusive, or illegal activity
• Non-payment of applicable subscription fees
• Extended periods of account inactivity
• At QR Funnel's sole discretion, if continued access poses a risk to the Service, other users, or third parties

Upon termination, your right to access the Service will immediately cease. QR Funnel may, at its discretion, delete your account data after a reasonable retention period. We recommend exporting any important data before cancelling your account.

You may terminate your account at any time by contacting us or through your account settings. Termination of your account does not relieve you of any obligations to pay outstanding fees.

10. Changes to Terms

QR Funnel reserves the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Provide notice through the Service or via email to your registered email address
• Give you a reasonable period to review the updated Terms before they take effect

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

We encourage you to review these Terms periodically to stay informed of any updates.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
